Terms of service

Last updated: 28 October 2026

These terms are an agreement between Sphinxink Technologies Limited (“we”, “us”), a company registered in Nigeria ([RC number], [registered address]), and the school that uses Scholaid (“the school”, “you”). The school owner who creates the account accepts them for the school. Our Privacy policy explains how we handle information.

1. What Scholaid does

Scholaid helps schools:

  • upload teaching notes and generate question banks and lesson plans from them with AI;
  • review and approve questions and lesson plans before they are used;
  • run timed online tests that students take through a link on any device, marked automatically, or print them as exam papers;
  • manage staff, students, classes, subjects, sessions, terms and promotions.

We may improve, change or add features. We won’t remove a main feature a school is paying for during its paid period without telling you first.

2. Getting access

  • Schools request access. We review each request, and if we approve it, we email the school an invitation link to set up its account. We can decline a request.
  • The person who sets up the account becomes the school’s Owner and must be authorised to accept these terms for the school.
  • The Owner and Admins add staff and students. Every account is personal: don’t share passwords. The school is responsible for what happens under its accounts and should tell us at [email protected] if it thinks an account has been misused.

3. The school's responsibilities

The school agrees to:

  • have the right to put its staff's and students' information into Scholaid, including any consent needed from parents or guardians;
  • keep that information accurate and remove what it no longer needs;
  • upload only material it has the right to use (its own notes, or material it is licensed to use);
  • use Scholaid only for its own teaching and assessment, and follow the law.

The school must not:

  • try to reach another school's information, or get around a role's limits, login limits or security;
  • overload, copy or reverse-engineer the service, or use automated tools to pull data out of it;
  • upload anything unlawful, harmful or infringing;
  • resell or give access to Scholaid to anyone outside the school.

4. AI-generated content

Questions and lesson plans are drafted by AI from the school’s own notes. AI can make mistakes. Every question shows the passage, page and paragraph it came from, so staff can check it, and nothing is used until the school’s staff approve it. The school is responsible for reviewing and approving what it uses with students. We don’t guarantee that generated content is complete, correct or suitable for a particular exam or curriculum.

5. Plans, trials and payment

  • Free trial: new schools can start with a free trial; its length and student limit are shown on our pricing. The trial ends automatically, and nothing is charged.
  • Plans: each plan has a student limit and a lesson-plan allowance; the current plans and prices are on our pricing. Larger schools can ask us for a custom plan.
  • Paying: schools pay in naira, in advance, for 1, 6 or 12 months, through our payment provider (Bachs). Nothing renews automatically: you pay again when you want to continue. Renewing early adds the new period after the current one.
  • Changing plan: a new plan starts straight away, and the unused part of the current paid period is credited towards it.
  • Limits: you can’t add or reactivate students beyond your plan’s student limit, and lesson plans stop for the month once the allowance is used.
  • Prices: we may change prices for future periods. A change never affects a period you’ve already paid for. Prices [include / exclude] VAT.
  • Refunds: if you think you’re due a refund, reach out to us at [email protected].

6. When a plan ends

If the school doesn’t renew:

  • for the first 13 days after the paid period ends, everything keeps working;
  • from day 14 the school can still sign in, view, print and download, but can’t add or change anything;
  • from day 21 the account is paused: only the Owner can sign in, to renew. When a trial ends without a paid plan, the account is paused straight away.

The school’s information is kept while the account is paused, and everything works again as soon as the school pays. To close a paused account, or to ask what happens to its information, reach out to us at [email protected].

7. Ending the agreement

  • The school can stop using Scholaid at any time by not renewing, or by asking us to close its account.
  • We can suspend or close an account if the school seriously or repeatedly breaks these terms, or if the law requires it. Unless it's urgent, we'll warn the school first and give it a chance to fix the problem.
  • After an account closes, the school can reach out to us at [email protected] for a copy of its information or to have it deleted, as our Privacy policy describes.

8. Ownership

  • The school’s content stays the school’s: its notes, documents, staff and student records, tests and results. The school gives us permission to store and process that content only to provide Scholaid to the school.
  • Questions and lesson plans generated for the school are the school's to use.
  • Scholaid itself (the software, design, name and logo) belongs to us. Using it doesn’t give you any ownership of it.
  • If you send us suggestions, we may use them without owing you anything.

9. Availability and support

We work to keep Scholaid available and to save students’ answers even on weak connections, but we can’t promise it will never be interrupted. We may need planned maintenance; where we can, we’ll do it outside school hours and tell you in advance. For help, contact [email protected].

10. Liability

  • Scholaid is provided “as is”. To the extent the law allows, we don't give promises beyond those in these terms.
  • We are not liable for indirect or consequential losses, such as lost profits, lost opportunities or damage to reputation.
  • Our total liability to a school in any 12 months is limited to the amount the school paid us in those 12 months.
  • Nothing in these terms limits liability that the law doesn't allow to be limited.

11. Changes to these terms

We may update these terms. If a change is significant, we’ll tell school owners by email or in Scholaid at least [30 days] before it takes effect. Continuing to use Scholaid after that means the school accepts the new terms. A school that doesn’t agree can stop using Scholaid before the change takes effect and reach out to us about any unused paid time.

12. Law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. We’ll first try to settle any disagreement by talking. If that doesn’t work within 30 days, the dispute goes to [the courts of Lagos State / arbitration in Lagos under the Arbitration and Mediation Act 2023].
